Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at sentrios.dk (the "Website") and, when made available, the Sentrios security monitoring platform (the "Platform"), both operated by Sentrios, a company registered in Denmark ("Sentrios", "we", "us", or "our"). By accessing or using the Website or the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.

References to "you" or "user" mean the individual accessing the Website or, where the context requires, the legal entity on whose behalf that individual acts.

1. About Sentrios

Sentrios is a cybersecurity company headquartered in Copenhagen, Denmark. We are developing a security monitoring platform combining Security Information and Event Management (SIEM) and Extended Detection and Response (XDR) capabilities, designed specifically for European organisations subject to NIS2, GDPR, and related regulatory frameworks. All services are operated from within the European Union.

2. Pre-Launch and Beta Status

The Sentrios Platform is currently in a pre-launch phase and has not yet been made generally available to the public. Access to any pre-release, beta, or early-access version of the Platform is provided solely at our discretion, may be granted or revoked at any time without notice, and is subject to any additional terms communicated to you at the time of access.

You expressly acknowledge and accept that:

• Pre-release versions of the Platform are provided strictly on an "as is" and "as available" basis, without any representation as to fitness for purpose, stability, accuracy, or completeness.
• Features, functionality, pricing, data schemas, and API specifications described on the Website or in any documentation are subject to material change before, and after, general availability.
• Any data you submit to a pre-release version of the Platform, including security telemetry, configuration data, or personal data, is submitted at your own risk. We do not guarantee the retention, integrity, or confidentiality of such data during the pre-launch period beyond the obligations imposed by applicable law.
• We may discontinue, suspend, or substantially modify the pre-release Platform at any time. We will not be liable to you for any losses arising from such action.
• Feedback, bug reports, or suggestions you provide regarding any pre-release version may be used by Sentrios without restriction, compensation, or attribution to you.

Nothing on the Website constitutes an offer to provide any product or service at any particular price or on any particular terms. Expressions of interest, waitlist registrations, and demo requests do not create a binding contract.

3. Use of the Website

Subject to these Terms, Sentrios grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your own lawful, personal, or internal business purposes.

You agree that you will not:

• Use the Website in any manner that violates any applicable local, national, or international law or regulation, including but not limited to Danish law, EU law, and the laws of any jurisdiction in which you are located or from which you access the Website.
• Transmit any unsolicited or unauthorised advertising, promotional material, spam, or any other form of solicitation.
• Attempt to gain unauthorised access to any part of the Website, its underlying servers, networks, or systems, or interfere with the proper functioning of the Website through denial-of-service attacks, scraping, injection, or other means.
• Reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any content on the Website for commercial purposes without our prior written consent.
• Use automated tools, bots, or scripts to access or index the Website except as expressly permitted by our robots.txt file or by prior written agreement.
• Impersonate Sentrios, any Sentrios employee, or any other person or entity, or misrepresent your affiliation with any person or entity.
• Upload or transmit any content that is unlawful, defamatory, obscene, or that infringes any third-party intellectual property rights.

We reserve the right to restrict or terminate your access to the Website at any time and for any reason, including for breach of these Terms, without prior notice and without liability to you.

4. Intellectual Property Rights

The Website, the Platform, and all content, features, and functionality therein, including but not limited to text, graphics, logos, icons, images, source code, software, the Sentrios Engine, detection logic, compliance mapping frameworks, and associated documentation, are and shall remain the exclusive property of Sentrios ApS or its licensors. They are protected by Danish copyright law, EU Directive 2001/29/EC on the harmonisation of certain aspects of copyright and related rights in the information society, the European Union Intellectual Property Regulation, and other applicable intellectual property laws.

The Sentrios name, logo, and all related product and service names, design marks, and slogans (including "Total Command. Zero Compromise." and "Sentrios Engine") are trademarks or service marks of Sentrios. You may not use these marks without our prior written consent. Nothing in these Terms grants you any right, title, or interest in or to our trademarks or intellectual property.

You are permitted to print or download a single copy of any page on the Website for your personal, non-commercial use, provided that you do not modify the materials and you retain all copyright and proprietary notices contained therein. This permission does not transfer ownership of any intellectual property to you, and it does not constitute a licence to publish, reproduce, or create derivative works.

If you believe that any content on the Website infringes your intellectual property rights, please notify us in writing at hello@sentrios.dk with sufficient detail to identify the alleged infringement.

5. Privacy and Data Protection

Your use of the Website and Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation, "GDPR") and the Danish Act on Data Protection (Databeskyttelsesloven). All personal data we collect in connection with your use of our services is processed and stored within the European Union.

By providing your email address or other personal data through our Website (for example, by joining a waitlist or contacting us), you consent to our processing of that data as described in our Privacy Policy.

6. Accuracy of Information

We endeavour to keep the information on the Website accurate and up to date; however, the Website is provided for general information purposes only and does not constitute professional security, legal, or compliance advice. We make no warranty, express or implied, as to the accuracy, completeness, or fitness for any particular purpose of any information on the Website.

Product descriptions, feature lists, roadmap timelines, compliance coverage statements, and pricing information are indicative only and subject to change at any time without notice. Sentrios accepts no liability for any decision made or action taken in reliance on information published on the Website.

7. Third-Party Links and Content

The Website may contain links to third-party websites, services, or resources that are not owned or controlled by Sentrios. These links are provided for your convenience only. We have no control over the content, privacy practices, or policies of any third-party sites and accept no responsibility or liability for them. Accessing third-party links is done at your own risk and subject to those third parties' respective terms of service and privacy policies.

8. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and any pre-release version of the Platform are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

Sentrios expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Website or Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
• Any warranty that defects will be corrected, or that the Website or its servers are free of viruses, bugs, or other harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any content or information accessed through the Website.

Nothing in these Terms shall exclude or limit any statutory rights you may have as a consumer under applicable Danish or EU consumer protection law that cannot be excluded or limited by contract.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sentrios, its directors, employees, contractors, agents, and licensors shall not be liable to you for any:

• Indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business, business interruption, or failure to realise expected savings.
• Security breach, data breach, cyber-attack, or loss of security telemetry or incident data, whether or not we have been advised of the possibility of such damages.
• Regulatory fines, penalties, or enforcement actions brought against you by any supervisory authority, including under the GDPR, NIS2, or any other applicable law, arising from your use of or reliance on our services.
• Errors or omissions in our compliance mapping, detection logic, or regulatory guidance, or any failure of the Platform to detect a particular threat or meet a particular compliance requirement.

In any event, our total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Website or Platform shall not exceed the greater of (a) the total amounts paid by you to Sentrios in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) EUR 100 (one hundred euros).

Nothing in these Terms shall limit or exclude Sentrios's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Danish or EU law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sentrios and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Website or Platform in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any content you submit to us; or (d) your infringement of any third-party intellectual property or other rights.

11. Modifications to These Terms

We reserve the right to update or amend these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practical, notify users by email or by a prominent notice on the Website. Your continued use of the Website after the effective date of any changes constitutes your acceptance of the revised Terms.

We recommend you review these Terms periodically. If you do not agree to any revised Terms, you must stop using the Website.

12. Termination

We may suspend or terminate your access to the Website or any pre-release version of the Platform immediately and without prior notice if we reasonably believe you have breached these Terms or any applicable law, or if we decide to discontinue the service for any reason. Upon termination, your licence to use the Website ceases immediately.

Sections 4 (Intellectual Property Rights), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution) shall survive any termination of these Terms.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, without regard to its conflict-of-law provisions.

Where mandatory consumer protection provisions of EU law or of the law of your country of residence confer rights upon you that cannot be excluded by the choice of Danish law, those provisions shall continue to apply to the extent required by law. In such cases, Danish law governs all matters not covered by those mandatory provisions.

14. Dispute Resolution

We encourage you to contact us first at hello@sentrios.dk before initiating any formal proceedings. We will attempt in good faith to resolve any dispute informally within thirty (30) calendar days of receiving your written notice describing the nature and basis of the claim.

If the dispute cannot be resolved informally, any dispute, controversy, or claim arising out of or in connection with these Terms, their breach, termination, or invalidity shall be subject to the exclusive jurisdiction of the Courts of Denmark, with Copenhagen City Court (Københavns Byret) or, where applicable, the Eastern High Court (Østre Landsret) as the court of first instance.

If you are a consumer resident in the European Union, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr as an alternative means of dispute resolution, and to bring proceedings in the courts of your country of habitual residence.

Notwithstanding the foregoing, Sentrios reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop infringement of its intellectual property rights or other irreparable harm.

15. Severability and Waiver

If any provision of these Terms is held to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

No failure or delay by Sentrios in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise thereof or the exercise of any other right or remedy.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services or promotions, constitute the entire agreement between you and Sentrios with respect to your use of the Website and Platform, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding their subject matter.
